Acceptance of Membership: Membership acceptance and renewal to Here House is at the sole discretion of the Clubhouse and ownership. Membership Payment: Upon approval or renewal of your membership, payment for the membership dues will be taken at the time of execution of the Membership/Application agreement by both parties. By providing us with your card details, you accept the charges for the membership dues or payment plan. Any failed credit card payment will be re-run after 48 hours, and we will reach out to you by email as an alert. If the payment is declined again, it will be run again after another 48 hours, and after the third decline admittance to the Clubhouse will be suspended until payment is resolved. If membership dues are outstanding more than thirty (30) days, we will reach out with a reminder, and only after failure to respond will the membership will be suspended. Guests are welcome. Please register any guests with the concierge upon arrival. Members are allotted a 10-guest punch pass that will renew automatically each month. If necessary, to preserve the quality of experience for members, HH reserves the right to limit guest visits during high traffic times like Christmas Holiday Season, Spring Break, & Fourth of July, etc. at the concierge on duty’s discretion--please check the member portal or ask the concierge. You are responsible for your guest’s behavior. All food and beverage bills will be automatically charged to the member’s card on file, or card presented at the time of purchase, unless otherwise approved by a manager. Each member must sign their bill before leaving the Clubhouse. Monthly charge accounts will be automatically closed on the last day of the calendar month to the card on file. If you wish to use a different card, they must notify the HH concierge before the last day of the month. The Clubhouse will operate on a first come, first serve basis due to space limitations. Here House is not liable if the maximum occupancy has been met and a member is not granted access. However, if space is available in Local, table service and other privileges will be extended to your seat at Local until space opens in the club. Also, you will be given priority the next time you visit. The number of members has been determined using utilization models from long-standing, popular clubs. 2-tops and 4- top tables can be reserved in advance for up to 90-minute meetings, up to 5 times a week, on a first-come first served basis by confirming on the member portal or with concierge. PLEASE CANCEL AT LEAST 2 HOURS IN ADVANCE TO KEEP THIS PRIVILEGE AND TO MAKE THE TABLE AVAILABLE TO OTHER MEMBERS. The table will be released to other members 10 minutes after the reserved time. Pets are not allowed, except for well-behaved furry members at the discretion of the concierge. Please keep your dogs on a leash and in your vicinity at all times. Please be respectful of your fellow members. Certain areas of the space will be dog-free. Please let the concierge know if you are allergic to certain dogs. We may at times close the Clubhouse with notice to members for a limited number of private events. Notice will be given through the monthly calendar or email at least two weeks in advance (more generally one month), and daytime closures for private events will be limited to one (1) per month. The conference room/dining space can be reserved for a lunch-time private member event (3 hours max) once a week during daytime hours, but the remainder of the clubhouse will remain open. Event revenue is what allows us to keep your membership fees as low as possible and we appreciate your understanding. Conference room may be reserved for up to three (3) hours, twice (2) per month (for corporate and non-profit members) and once (1) per month for regular members, with a minimum spend of $50-100 per hour depending on the time of day. If the minimum isn’t met, the balance will be invoiced. After-hours reservations may be longer in duration. Reservations for the conference room must be made at least twenty-four (24) hours in advance; failure to communicate cancellation at least two (2) hours before start time will incur a $50 fee. Conference room fees will count towards the monthly suggested spending minimums for Under 35/45’s, Corporate, and Non-Profit memberships. Private events and bookings are appreciated one (1) month in advance and are accepted up to fourteen (14) days in advance based on availability. Cancellation for special, member-booked events must be made at least seven (7) days prior to the date of the event. If a cancellation is made with less than seven (7) days prior to the event, the full price agreed upon by the guest will be charged to the card on file. If the guest would like to reschedule the event, and maintain the deposit placed, this may be allowed if the change is made at least four (4) days in advance. Events will be closed to the general public, except during specified “Open” events. Here House expects to hold 1-2 open events per month, Here House maintains the right to charge an entry fee for certain events if there are significant costs incurred. While guest punch passes may be used for events, entry fees or ticket prices may also apply. Family members may be signed in using the sponsoring member’s guest punch pass, but they are not considered a member. Children of all ages are welcome, and any children under the age of sixteen (16) will not count as a “punch” on the member’s guest punch pass. Please be considerate of other members when you bring your children. Smoking is prohibited in the Clubhouse and/or on the patio. The Clubhouse facilities at Here House, which are leased and operated by Local Coffee House LLC, shall be open on the days and during the hours established by Here House, considering seasonality. The projected hours of regular operation are 7:00 am - 6:00 pm, (and can be seasonally determined by ownership), and After Hour access will be enabled from 6:00 pm - 10:00 pm Sunday through Thursday and 6:00 pm - 12:00 am Friday and Saturdays. Food and beverages are available during regular business hours, while a BYOB policy is enacted during After Hours, except during pre-determined ‘cocktail hours’ or events which shall count as Business Hours. At some point, Here House may form partnerships for After Hours food and beverage, at which point the BYOB policy will be superseded and delivery instituted. Here House reserves the right to turn away any member, or ask a member to leave, if they appear intoxicated in a way that is disruptive to other members. Security cameras will be utilized during After Hours for accountability purposes. Any member using the space during After Hours will be asked to leave the place sparkling. During After Hours, the door will lock behind anyone exiting, so please make sure you have your Keycard should you need to step out. Please limit your guests to 5, or however guest passes you have left for the month, whichever is fewer. To bring a larger group, please schedule with the Concierge and HH will provide food and beverage services. Outside food or beverage is not permitted in the Clubhouse during Business Hours, only during After Hours when Local and HH are not serving. The Food and Beverage Minimums are connected to the Membership tier in which the member is subscribed. The food and beverages offered at Here House through Table Service are those of Local Coffee House. You are welcome to enter into either space, eat at Local, or order take away from Local, in addition to your time at Here House. All purchases made at Local will count toward your suggested Monthly Food & Beverage spend as long as you use a credit card in your name. There is no minimum spend for Regular Membership or a 2-Person Regular Membership. Under 35/45’s suggested minimum is $150 per month, the Corporate membership suggested minimum is $2,400 per year, and the Non-Profit membership suggested minimum is also $1,800 per year. There is no penalty for not meeting the suggested minimum spend, but please keep in mind that membership rates have been priced as low as possible, based on the notion of a reciprocal relationship. No member or guest of a member shall use, ingest, possess, or distribute illegal drugs while on the Clubhouse premises. If any of the above actions prove true, the above membership will be reviewed and potentially revoked. 20% gratuity will be added to all food & beverage bills. If you would like this removed for any reason, please let the concierge or server know. Direct gratuities (per meal or annually) to HH staff members are never expected or required but could make someone’s day. The Company provides club services on an “as is” basis as a service and not as a lease of real property, and disclaim all warranties and conditions, whether express, implied or statutory, including, but not limited to, merchantability, title, quiet enjoyment, possession, fitness for a particular purpose or use, to the extent permitted by law. You hereby understand, agree and warrant that you are not a tenant and that Here House is not a landlord and there is no tenancy relationship whatsoever as defined in any case law or legislation, rules, or regulations promulgated by the state of Colorado or otherwise. The club’s address may not be used to file or register a business, and written agreement is required to receive mail at HH. HH is not responsible for mail sent to you at the Here House address, though staff will put received mail in a safe place. You agree not to use the Clubhouse for any purpose that is unlawful, prohibited, or that could damage, disable or impair the property of the Company or of other members, or prevents other members from enjoying the Clubhouse, or that would damage the reputation or business of the Company and the Clubhouse. You also agree not to use the Clubhouse in connection with: (a) Lottery contests, chain letters, junk email, spamming or similar behavior; (b) Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others; (c) Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information; (d) Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you don’t own or license such rights; and (e) Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of the Clubhouse or another member. This agreement shall remain in effect until one or more of the following occur: (a)You fail to meet any of the requirements of membership. (b) Agreement term lapses without further terms or agreements added, “renewal”. (c) Company files for bankruptcy or ceases to do business. While at Here House, you may learn of confidential information about the Company or its members. Such confidential information may include business information, trade secrets, technology, processes, customers and prospects that is intended to be confidential and proprietary. You hereby agree and consent to not disclose information that you obtain, which is confidential unless otherwise stated. The Here House management and staff adhere to the strictest confidentiality standards and pledge to maintain all records and personal information concerning the members and their guests in the strictest confidence. The Company shall maintain the Clubhouse in good repair and working order. If you notice any problems requiring repair, please notify the concierge on duty and it shall be remedied promptly. You hereby waive and hold harmless the Company, its members, officers, directors, shareholders, contractors and employees (the “Releases”) from any claims, liability, actions, or suits with respect to any damages, injuries or losses you suffer to your person or property, whatsoever, including as a result of negligence or gross negligence on the part of the Releases, including but not limited to any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for lost profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other loss) arising out of or in any way related to the Company’s services or otherwise. This agreement may not be assigned without the prior written consent of the Company. The laws of Colorado shall govern the terms of this agreement and any disputes between the Parties. The Parties hereby attorn to the courts in the City of Aspen. In the event that a provision in this agreement is determined to be invalid or unenforceable, the remaining provisions of this agreement shall be unaffected and shall remain in full force and effect. No handwritten additions will be valid.
